Oklahoma requires LLCs to file an annual certificate on the anniversary of their formation with a $25 filing fee. The filing itself is simple, but Oklahoma has a compliance layer that catches many new business owners: the state requires all entities to register with the Oklahoma Tax Commission separately from the Secretary of State. Many owners complete their Secretary of State filing and assume they’re done, not realizing they have a separate tax registration obligation.
Oklahoma also imposes a franchise tax on corporations based on capital allocated to Oklahoma. While LLCs are generally exempt from the franchise tax, LLCs that elect corporate taxation are subject to it.
