What Missouri requires from your business

Missouri is unique among states in that LLCs are not required to file an annual report with the Secretary of State. This catches many business owners off guard — especially those who operate in multiple states and assume every state works the same way.

However, “no annual report” does not mean “no compliance obligations.” Missouri LLCs still have several ongoing requirements that, if missed, can put your business at risk.

Missouri LLC compliance obligations

Even without an annual report, Missouri LLCs must maintain a registered agent with a physical street address in Missouri at all times. If your registered agent resigns or becomes unavailable and you fail to appoint a replacement, the state has no way to deliver legal notices to your business. This is one of the most common ways Missouri LLCs fall out of compliance without realizing it.

You must also keep your operating agreement current. While Missouri does not require you to file your operating agreement with the state, having an outdated or nonexistent operating agreement weakens your liability protection if your business is ever challenged in court.

If your LLC is taxed as an S-corp or has employees, you have ongoing obligations with the Missouri Department of Revenue including income tax withholding, sales tax collection and remittance (if applicable), and unemployment insurance contributions through the Missouri Division of Employment Security.

Missouri corporation compliance obligations

Missouri corporations have more extensive filing requirements. Corporations must file a registration report with the Secretary of State. The fee is based on your corporation’s authorized shares and the portion of business conducted in Missouri.

Corporate officers and directors must be kept current with the state. Failure to maintain accurate records can result in loss of good standing status, which affects your ability to obtain financing, enter contracts, and expand into other states.

Business licenses and permits in Missouri

Missouri does not have a general statewide business license. However, many cities and counties require their own business licenses. If you operate in St. Louis, Kansas City, Springfield, or Columbia, you almost certainly need a local business license — and each municipality has different requirements, fees, and renewal deadlines.

Certain industries require state-level licensing including contractors, healthcare professionals, real estate agents, barbers and cosmetologists, food service businesses, and businesses selling alcohol or tobacco.

What happens if you fall behind in Missouri

While Missouri is more lenient than many states regarding LLC reporting, falling behind on other obligations — particularly registered agent maintenance, tax filings, and local business licenses — can still result in administrative dissolution of your LLC, tax liens and back-tax assessments with penalties and interest, inability to obtain a certificate of good standing, loss of your business name if another entity claims it during dissolution, and personal liability exposure if your entity is not in good standing.
