What catches Delaware business owners off guard
Delaware is the most popular state in America for business incorporation — over 1.5 million entities are registered there — but its popularity obscures a compliance cost that surprises many new owners. Delaware’s annual franchise tax is due March 1, and the default calculation method (the Authorized Shares Method) can produce tax bills of $100,000 or more for companies that authorized a large number of shares during formation.
The good news is that most small businesses can use the alternative Assumed Par Value Capital Method, which typically reduces the tax to the $400 minimum. But you must actively choose this method when filing — the state defaults to the more expensive calculation. Thousands of Delaware businesses receive shocking franchise tax bills every year simply because they didn’t know they needed to select the lower calculation method. Add in the $300 annual report fee and the requirement to maintain a registered agent in Delaware (even if you don’t operate there), and Delaware’s “business-friendly” reputation comes with more ongoing costs than most owners expect.
