What catches New Jersey business owners off guard
New Jersey requires LLCs to file an annual report on the anniversary of their formation with a $75 filing fee. But the annual report is the least of New Jersey’s compliance surprises. The state imposes a minimum Corporate Business Tax of $500 per year on LLCs that elect corporate taxation and a minimum Partnership Filing Fee based on the number of partners — even pass-through LLCs face a minimum fee.
New Jersey’s overall tax burden ranks among the highest in the nation. The state has a graduated corporate business tax reaching 11.5% on income over $1 million (one of the highest corporate rates in the country), combined state and local sales tax rates, and aggressive nexus enforcement for out-of-state businesses. New Jersey also requires registration with the Division of Revenue and Enterprise Services for tax purposes — a separate registration from your entity filing with the Division of Revenue and Corporation Filing Unit. The similar-sounding names of these divisions cause more confusion than any other state’s agency structure.
