What catches Washington business owners off guard
Washington requires LLCs to file an annual report on the anniversary of formation with a $60 filing fee. But Washington’s biggest compliance surprise is the Business & Occupation (B&O) Tax — a gross receipts tax that applies to virtually all business income in the state. Unlike income taxes, the B&O tax is calculated on gross revenue, not profit. A business with $500,000 in revenue and $10,000 in profit pays the same B&O tax as one with $500,000 in revenue and $100,000 in profit.
B&O tax rates vary by business classification — retailing, wholesaling, manufacturing, and service businesses each have different rates ranging from 0.138% to 1.75%. The rate differences mean that correctly classifying your business activity is critical, and businesses that engage in multiple types of activity may need to apportion their income across multiple classifications. Washington also has no personal income tax, which attracts entrepreneurs who don’t realize the B&O tax and high sales tax rates (averaging over 10% in many areas) create a compliance burden that rivals or exceeds income tax states.

PHASE 1: BUSINESS PLANNING & LEGAL STRUCTURE

PHASE 4: INSURANCE & RISK MANAGEMENT
General liability, workers’ comp (required in most states), state-mandated benefits, standard contracts/agreements.
■ TRAP ALERT: Not understanding WA’s L&I; (Labor & Industries) monopolistic workers’ comp — NO private carriers → Like OH BWC and ND WSI, WA L&I; is state-run only; rates set by state with no private competition.
PHASE 5: FINANCIAL SETUP & TAX COMPLIANCE
Open dedicated business bank account, set up bookkeeping/accounting systems.
■ TRAP ALERT: Not budgeting for WA’s combined payroll burden: PFML (1.13%) + WA Cares (0.58%) + UI ($72,800 base) → WA’s combined employer payroll obligations are the HIGHEST in the catalog — budget 3-5% of payroll beyond base wages.
