What catches Virginia business owners off guard
Virginia requires LLCs to file an annual registration fee on the anniversary month of formation. The fee is $50, and the filing is straightforward. But Virginia has a compliance requirement that catches nearly every new employer off guard: the Virginia Employment Commission requires employers to register and begin filing quarterly payroll reports within 30 days of paying wages to the first employee. Miss this window and you face back-assessments for the entire period of non-registration.
Virginia’s local tax landscape also adds complexity. The state has an unusual Business, Professional, and Occupational License (BPOL) tax that many cities and counties impose on businesses based on gross receipts. BPOL rates and thresholds vary across Virginia’s 95 counties and 38 independent cities (Virginia is unique in having cities that are independent from any county). A business operating in Fairfax County faces different BPOL requirements than one in Virginia Beach or Richmond, and expanding from one locality to another triggers new registration and filing obligations.
Virginia's BPOL tax varies across 133 independent jurisdictions.

Quick-Start Teaser
Avoid the biggest traps new owners face – from my 27-page full guide
PHASE 1: BUSINESS PLANNING & LEGAL STRUCTURE
Validate idea, choose entity (LLC/S-Corp/etc.), register with Secretary of State, get EIN, DBA, operating agreement/bylaws.
■ TRAP ALERT: Not understanding Virginia’s BPOL (Business Professional Occupational License) tax — a local GROSS RECEIPTS tax → BPOL is imposed by Virginia’s 38 independent cities and many counties at rates of 0.05%-0.58% of GROSS receipts — it’s a tax on REVENUE, not profit.
PHASE 2: STATE & LOCAL REGISTRATIONS
Register for state tax accounts, sales/gross receipts tax, local licenses and permits, unemployment insurance, new hire reporting.
■ TRAP ALERT: Missing the annual registration ($50, due in the anniversary month) → Administrative dissolution.
PHASE 3: FEDERAL COMPLIANCE
Check federal licenses, set up payroll taxes (EFTPS), I-9 for hires, workplace safety (OSHA/state plan).
■ TRAP ALERT: Commingling personal and business funds → Pierces the corporate veil and exposes your personal assets to lawsuits and debts.
PHASE 4: INSURANCE & RISK MANAGEMENT
General liability, workers’ comp (required in most states), state-mandated benefits, standard contracts/agreements.
■ TRAP ALERT: Skipping workers’ comp — Virginia requires coverage for 2+ employees (or 1+ for construction) → Criminal penalties (Class 2 misdemeanor), fines, and personal liability.
PHASE 5: FINANCIAL SETUP & TAX COMPLIANCE
Open dedicated business bank account, set up bookkeeping/accounting systems.
■ TRAP ALERT: Not understanding Virginia’s 38 independent cities (separate from counties) each with their own BPOL rates and filing requirements → VA’s city/county structure is unique — independent cities are NOT part of any county and have separate tax requirements.
PHASE 6: OPERATIONS & ONGOING COMPLIANCE
Navigate ongoing taxes/regulations, maintain compliance calendar, annual filings.
■ TRAP ALERT: Missing ongoing filings or poor record-keeping → Escalating penalties, audits, or forced dissolution.
