South Dakota is one of the most business-friendly states in the country — no corporate income tax, no personal income tax, and a low annual report fee of $50 due on the anniversary of formation. For LLC compliance, South Dakota is about as simple as it gets. But that simplicity hides a specific trap for businesses that form in South Dakota but operate elsewhere.

Many entrepreneurs choose South Dakota for its low costs and privacy protections without understanding the concept of “foreign qualification.” If your South Dakota LLC conducts business in another state — which includes having employees, an office, or regular customers there — you must register as a foreign LLC in that state and comply with its requirements too. A South Dakota LLC operating in California still owes California’s $800 franchise tax.
