What catches Ohio business owners off guard
Ohio is one of a small number of states that does not require LLCs to file annual reports — which sounds like a compliance advantage until you realize what Ohio does require instead. Ohio LLCs must file an initial report and then subsequent reports every five years (biennial for some entity types). Ohio also imposes the Commercial Activity Tax (CAT) on businesses with gross receipts exceeding $150,000, which is a tax on revenue, not profit.
The most common trap for Ohio business owners is assuming that the lack of an annual report means there are no ongoing obligations. In reality, Ohio requires maintenance of a statutory agent (Ohio’s term for registered agent), timely filing of biennial or five-year reports, registration for and payment of the Commercial Activity Tax, municipal income tax filings for every city where you have employees or conduct business (Ohio has over 600 municipalities with their own income taxes), and compliance with the state’s employer withholding requirements.
