What catches Nevada business owners off guard
Nevada is marketed as the ultimate business-friendly state — no corporate income tax, no personal income tax, strong asset protection. But Nevada’s annual compliance costs are higher than most owners expect. The Annual List of Members/Managers filing costs $150, and Nevada also requires a separate State Business License that costs $200 per year. Together, that’s $350 annually in mandatory fees before you’ve done anything else — more than double what many “expensive” states charge for their annual reports.
Nevada also has the Commerce Tax, which applies to businesses with Nevada gross revenue exceeding $4 million (the threshold varies by industry). While most small businesses fall below this threshold, growing companies can be caught off guard when their revenue crosses the line. The Modified Business Tax on wages is another obligation that applies to all Nevada employers, with rates that vary by industry. Nevada’s “no tax” reputation is accurate for personal and corporate income taxes, but the state makes up for it through other mechanisms that new owners frequently underestimate.
Nevada's "no tax" state costs $350/year in mandatory fees alone.
Nevada Business Compliance
Quick-Start Teaser
Avoid the biggest traps new owners face – from my 27-page full guide
PHASE 1: BUSINESS PLANNING & LEGAL STRUCTURE
Validate idea, choose entity (LLC/S-Corp/etc.), register with Secretary of State, get EIN, DBA, operating agreement/bylaws.
■ TRAP ALERT: Assuming Nevada’s ‘no income tax’ means no business taxes → Nevada has a $200/year Business License fee, $150/year annual list, Commerce Tax ($4M+ revenue), and Modified Business Tax on payroll — it’s NOT tax-free.
PHASE 2: STATE & LOCAL REGISTRATIONS
Register for state tax accounts, sales/gross receipts tax, local licenses and permits, unemployment insurance, new hire reporting.
■ TRAP ALERT: Missing the annual list of managers/members ($150, due by last day of anniversary month) → Late fee of $150 + penalties; NV moves to revocation relatively quickly.
PHASE 3: FEDERAL COMPLIANCE
Check federal licenses, set up payroll taxes (EFTPS), I-9 for hires, workplace safety (OSHA/state plan).
■ TRAP ALERT: Commingling personal and business funds → Pierces the corporate veil and exposes your personal assets to lawsuits and debts.
PHASE 4: INSURANCE & RISK MANAGEMENT
General liability, workers’ comp (required in most states), state-mandated benefits, standard contracts/agreements.
■ TRAP ALERT: Skipping workers’ comp — Nevada requires coverage for ALL employers with 1+ employee → Criminal penalties (Category E felony), fines, and personal liability.
PHASE 5: FINANCIAL SETUP & TAX COMPLIANCE
Open dedicated business bank account, set up bookkeeping/accounting systems.
■ TRAP ALERT: Not understanding Nevada’s Modified Business Tax (0.5% on wages above $50K/quarter) → MBT is a payroll tax that catches employers who thought ‘no income tax’ meant no payroll obligations beyond UI.
PHASE 6: OPERATIONS & ONGOING COMPLIANCE
Navigate ongoing taxes/regulations, maintain compliance calendar, annual filings.
■ TRAP ALERT: Missing ongoing filings or poor record-keeping → Escalating penalties, audits, or forced dissolution.
