What catches Michigan business owners off guard
Michigan has one of the tightest compliance timelines in the country. LLC annual statements are due by February 15 — earlier than most states — and the state begins assessing a $50 late penalty immediately. Miss two consecutive years and Michigan will administratively dissolve your entity. That’s a faster dissolution trigger than almost any other state.
The February 15 deadline is particularly dangerous because it falls during a period when most business owners are focused on year-end accounting, W-2 distribution, and federal tax preparation. Michigan’s annual statement gets buried in the noise, and by the time the owner notices, the penalty has already been assessed.
Michigan also imposes the Corporate Income Tax (CIT) at 6% on C-corporations, and while LLCs are generally pass-through entities, any LLC that elects corporate taxation is subject to the CIT. The state’s personal property tax on business equipment is another compliance layer that catches new owners off guard — Michigan requires annual filing of a personal property statement for all business personal property, with penalties for late or inaccurate filings.

PHASE 1: BUSINESS PLANNING & LEGAL STRUCTURE
Validate idea, choose entity (LLC/S-Corp/etc.), register with Secretary of State, get EIN, DBA, operating agreement/bylaws.
