What catches Maryland business owners off guard
Maryland doesn’t require a traditional annual report for LLCs in the way most states do. Instead, Maryland requires LLCs to file a Personal Property Return with the State Department of Assessments and Taxation (SDAT) by April 15 each year. This isn’t just a registration update — it’s a form that asks about your business personal property, and many LLC owners who don’t own physical business property assume they’re exempt. They’re not. You must still file the form, even if you check every box as “none.”
Failure to file the Personal Property Return results in your business being marked as “not in good standing” by SDAT, which has the same practical consequences as missing an annual report in other states — you can’t obtain a certificate of good standing, which blocks financing, contracts, and state registrations. Maryland also imposes a $300 filing fee for LLCs at formation that many owners confuse with an annual fee, leading to confusion about what’s owed each year versus what was a one-time cost.
