What catches Maine business owners off guard
Maine requires LLCs to file an annual report by June 1 each year with an $85 filing fee. While the filing itself is routine, Maine’s penalty structure escalates quickly. Failure to file for two consecutive years results in administrative revocation of your LLC, and Maine’s reinstatement process requires not just filing back reports and paying penalties, but also obtaining a signed statement that all state tax obligations have been met — meaning you need to be current with the Department of Revenue before the Secretary of State will reinstate you.
Maine also has unique requirements around the state’s workers’ compensation system. All employers with one or more employees must carry workers’ comp coverage — there is no exception for small employers. The penalties for operating without coverage include fines of up to $10,000, personal liability for the employer, and potential criminal prosecution. Maine enforces this aggressively compared to many states.
