LOUISIANA

What catches Louisiana business owners off guard

Louisiana requires LLCs to file an annual report on the anniversary of formation with a $35 filing fee. But Louisiana’s compliance landscape is uniquely complicated by its parish system — the state is divided into 64 parishes (not counties), each with its own tax assessment and collection systems. A business operating across multiple parishes may owe occupational license taxes, sales taxes, and property taxes to multiple parish-level authorities, each with different rates and deadlines.

Louisiana also requires most businesses to obtain an occupational license from the parish where they operate. This isn’t a state-level requirement — it’s administered locally, meaning you need to check with each parish individually. The fees range from minimal to several hundred dollars depending on the parish and your business type. Additionally, Louisiana’s sales tax system is notoriously complex, with the state, parishes, and municipalities each collecting separate sales taxes, sometimes requiring businesses to file with multiple authorities for a single transaction.

Louisiana's 64-parish system creates compliance chaos for multi-location businesses.

Louisiana Business Compliance

Quick-Start Teaser

Avoid the biggest traps new owners face – from my 27-page full guide

Validate idea, choose entity (LLC/S-Corp/etc.), register with Secretary of State, get EIN, DBA, operating agreement/bylaws.

■ TRAP ALERT: Picking default LLC when S-Corp would save on SE taxes → Overpaying in self-employment taxes — LA’s progressive rates up to 4.25% plus 15.3% SE tax creates a significant combined burden.

PHASE 2: STATE & LOCAL REGISTRATIONS

Register for state tax accounts, sales/gross receipts tax, local licenses and permits, unemployment insurance, new hire reporting.

■ TRAP ALERT: Missing the annual report (due by anniversary date) and initial report (due within 90 days) → $50+ penalties per missed filing; LA also has a unique initial report due within 90 days of formation.

PHASE 3: FEDERAL COMPLIANCE

Check federal licenses, set up payroll taxes (EFTPS), I-9 for hires, workplace safety (OSHA/state plan).

■ TRAP ALERT: Commingling personal and business funds → Pierces the corporate veil and exposes your personal assets to lawsuits and debts.

PHASE 4: INSURANCE & RISK MANAGEMENT

General liability, workers’ comp (required in most states), state-mandated benefits, standard contracts/agreements.

■ TRAP ALERT: Skipping workers’ comp — Louisiana requires coverage for ALL employers with 1+ employee → Criminal penalties, fines up to $10,000, and personal liability.

PHASE 5: FINANCIAL SETUP & TAX COMPLIANCE

Open dedicated business bank account, set up bookkeeping/accounting systems.

■ TRAP ALERT: Not understanding Louisiana’s unique parish-based tax system with local sales taxes reaching 11.45%+ combined → LA has some of the HIGHEST combined sales tax rates in the nation — local taxes are self-administered by parishes.

PHASE 6: OPERATIONS & ONGOING COMPLIANCE

Navigate ongoing taxes/regulations, maintain compliance calendar, annual filings.

■ TRAP ALERT: Missing ongoing filings or poor record-keeping → Escalating penalties, audits, or forced dissolution.
