Annual reports are the single most commonly missed compliance filing for small businesses. Every state has different deadlines, fees, and penalties — and getting them confused can cost you hundreds or thousands of dollars in late fees, or worse, lead to your business being administratively dissolved.

States with no LLC annual report requirement

A handful of states do not require LLCs to file annual reports, though they may have other ongoing requirements. These include Missouri, New Mexico, and Ohio (which requires an initial report but no ongoing annual reports for LLCs). Even in these states, corporations typically still have filing requirements. Don't assume "no annual report" means "no compliance obligations."

States with the harshest late penalties

Some states are far more aggressive than others when it comes to penalizing late filings. Florida imposes an automatic $400 penalty with no grace period. California charges a $250 penalty plus the $800 annual franchise tax regardless of revenue. New York doesn't charge a late fee for its biennial statement but can administratively dissolve your entity for non-compliance.

Texas takes a different approach entirely — instead of an annual report, Texas requires a franchise tax report due May 15 each year, and failure to file can result in forfeiture of your right to transact business in the state.

How to never miss a deadline

The simplest protection against missed filings is a compliance calendar. Once you know your state's specific deadlines, set calendar reminders 30 days before each due date.
